Please read these Terms of Service carefully before using HealSpace AI. By downloading, installing, or using the app, you agree to be bound by these Terms. If you do not agree, do not use the app. These Terms form a legally binding agreement between you and Michael Clarke (the developer of HealSpace AI).

1. About HealSpace AI

HealSpace AI is developed and operated by Michael Clarke, an individual developer based in Queensland, Australia (ABN/business registration details available on request). References to "HealSpace AI", "we", "us", "our", or "the Developer" in these Terms refer to Michael Clarke.

Our contact details are provided in Section 22. HealSpace AI is available exclusively as an iOS application on the Apple App Store.

2. Acceptance of Terms

By downloading, installing, creating an account for, or otherwise using HealSpace AI (the "App"), you ("User", "you", "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional guidelines or rules posted within the App, all of which are incorporated into these Terms by reference.

If you are using the App on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and references to "you" include that organisation.

If you do not agree to these Terms in their entirety, you must not use the App and should delete it from your device.

We reserve the right to modify, suspend, or discontinue any aspect of the App at any time, with or without notice, subject to the obligations imposed by applicable consumer protection laws. We will endeavour to provide reasonable advance notice of significant changes or discontinuations.

5. Free and Premium Tiers

HealSpace AI offers two tiers of access:

Features available in each tier may change over time. We will provide reasonable notice of any reduction in features available to existing paying subscribers.

6. Subscriptions and Billing

6.1 Subscription Plans

HealSpace AI Premium is offered on the following auto-renewing subscription plans, billed in USD through the Apple App Store:

Prices are displayed in the App Store in your local currency where available. The USD amounts above are the base prices; your actual charge may vary due to currency conversion and applicable local taxes (including GST where applicable).

6.2 Auto-Renewal

Subscriptions automatically renew at the end of each billing period (monthly or annual) at the then-current subscription price, unless you cancel at least 24 hours before the end of the current billing period. Your Apple ID account will be charged for renewal within 24 hours before the end of the current period.

6.3 Free Trials

We may offer free trial periods for Premium subscriptions from time to time. If a free trial is offered, your subscription will automatically convert to a paid subscription at the end of the trial period unless you cancel before the trial ends. You will not be charged during the free trial period.

6.4 Managing and Cancelling Your Subscription

All subscription management is handled through Apple. To cancel or manage your subscription:

  1. Open the Settings app on your iPhone or iPad;
  2. Tap your Apple ID name at the top;
  3. Tap Subscriptions;
  4. Select HealSpace AI;
  5. Tap Cancel Subscription.

Cancellation takes effect at the end of the current billing period. You will continue to have access to Premium features until that date. Cancelling does not delete your account or data.

6.5 Price Changes

We reserve the right to change subscription prices at any time. We will provide advance notice of any price change through the App or App Store. Continued use of the subscription after a price change constitutes acceptance of the new price. Apple will notify you of any price increases affecting your subscription in accordance with their policies, and your consent may be required for certain price increases under applicable law.

Billing is handled entirely by Apple. HealSpace AI does not collect, store, or process your payment card details. All billing, charges, and receipts are managed through your Apple ID and the Apple App Store.

7. Refund Policy

Because all purchases and subscriptions are processed exclusively through the Apple App Store, all refund requests must be directed to Apple. HealSpace AI does not process refunds directly.

To request a refund from Apple:

  1. Visit reportaproblem.apple.com;
  2. Sign in with your Apple ID;
  3. Find the HealSpace AI subscription or purchase and select "Request a Refund".

Refund eligibility is determined solely by Apple in accordance with their policies and applicable consumer protection laws. We encourage you to familiarise yourself with Apple's refund policy before subscribing.

Australian Consumer Law: Nothing in these Terms limits any rights you may have under the Australian Consumer Law (ACL) or other applicable consumer protection legislation. If a service is not of acceptable quality or does not perform as described, you may be entitled to a remedy under the ACL regardless of the refund process described above.

8. Not a Medical Device — Important Health Disclaimer

HealSpace AI is not a medical device, not a medical service, and does not provide medical advice. Nothing in the App should be construed as a substitute for professional medical advice, diagnosis, or treatment.

You expressly acknowledge and agree that:

Your use of information provided by HealSpace AI is entirely at your own risk and discretion. The Developer accepts no liability for any health outcomes, decisions, or actions taken in reliance on information provided by the App.

9. User Responsibilities

By using HealSpace AI, you agree to:

10. Intellectual Property

10.1 Our Intellectual Property

HealSpace AI and all of its contents, features, and functionality — including but not limited to the software, code, design, user interface, text, graphics, logos, icons, AI model prompts and system architecture, and the compilation thereof — are the exclusive property of Michael Clarke and are protected by Australian and international copyright, trade mark, and other intellectual property laws.

"HealSpace AI" and associated logos are trade marks of Michael Clarke. You may not use these trade marks without our prior written consent.

10.2 Licence to Use the App

Subject to your compliance with these Terms and payment of any applicable subscription fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to download and use the App on iOS devices that you own or control, solely for your own personal, non-commercial health tracking purposes.

You may not:

Your use of the App is also subject to Apple's App Store Terms of Service. In the event of a conflict between Apple's terms and these Terms regarding the App, Apple's terms will govern with respect to the App Store relationship.

11. Your Data and Content

You retain full ownership of all personal data and content you enter into HealSpace AI ("User Content"), including your health logs, notes, and any other information you record.

By using the App, you grant HealSpace AI a limited, worldwide, royalty-free licence to process, store, and transmit your User Content solely for the purpose of providing and improving the App's services to you. This licence does not permit us to sell your data or use it for any purpose unrelated to providing the App.

You represent and warrant that you have the right to submit any User Content you enter into the App and that doing so does not violate any third-party rights.

Please refer to our Privacy Policy for full details of how we handle your data, including retention, deletion, and export rights.

12. Prohibited Conduct

You must not use HealSpace AI to:

13. Third-Party Services

HealSpace AI integrates with third-party services to deliver its functionality, including Supabase (database), Anthropic (AI), Cartesia (text-to-speech), Sentry (crash reporting), RevenueCat (subscriptions), and Apple (authentication and billing). Your use of these services is subject to their respective terms of service and privacy policies.

We are not responsible for the practices, content, or services of any third-party providers. We do not endorse or make any representations about third-party services beyond what is stated in our Privacy Policy.

The App may contain links to third-party websites or resources. These links are provided for convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them.

14. Disclaimer of Warranties

To the maximum extent permitted by applicable law, HealSpace AI is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including but not limited to:

Australian Consumer Law: Nothing in this Section excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot be excluded, restricted, or modified. To the extent that any guarantee applies that cannot be excluded, our liability is limited (where permitted) to the re-supply of the services or payment of the cost of re-supply.

15. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Michael Clarke (the Developer), his affiliates, licensors, or service providers be liable for any:

In those jurisdictions, our liability is limited to the fullest extent permitted by applicable law. Nothing in these Terms limits liability that cannot be limited by law (including for death or personal injury caused by negligence, or fraud).

You agree to indemnify, defend, and hold harmless Michael Clarke, his affiliates, officers, agents, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

17.1 Termination by You

You may terminate your account at any time by navigating to Settings → Account → Delete Account within the App, or by contacting us at support@healspaceai.com. Account deletion will permanently erase your health data in accordance with our Privacy Policy. You should cancel any active subscription separately through the Apple App Store before deleting your account to avoid further charges.

We may suspend or terminate your access to HealSpace AI, with or without notice, if we reasonably determine that:

We reserve the right to modify these Terms at any time. When we make material changes, we will:

19. Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Queensland, Australia, without regard to its conflict of law provisions.

The courts of Queensland, Australia shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation, subject to the dispute resolution process in Section 20.

If you are a consumer located in the European Union, you may also have rights under the mandatory consumer protection laws of your country of residence, which these Terms do not override.

If you are a consumer located in the United States, certain state consumer protection laws may also apply to you.

20. Dispute Resolution

20.1 Informal Resolution

Before initiating any formal legal proceedings, we ask that you first contact us at support@healspaceai.com and describe your dispute in detail. We will endeavour to resolve the matter informally within 30 days of receiving your notice.

20.2 Mediation

If informal resolution fails, either party may refer the dispute to mediation administered by the Australian Disputes Centre (ADC) or another mutually agreed mediation service before commencing litigation.

20.3 Litigation

If mediation does not resolve the dispute, the parties may pursue their rights through the courts of Queensland, Australia as set out in Section 19.

20.4 Australian Consumer Complaints

Australian users may also seek assistance from the Australian Competition and Consumer Commission (ACCC) at accc.gov.au or your state's consumer protection agency.

21. General Provisions

21.1 Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, shall be severed from the Terms. The remaining provisions shall continue in full force and effect.

21.2 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by us to be effective.

21.3 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms presented to you within the App, constitute the entire agreement between you and HealSpace AI with respect to the App and supersede all prior agreements, representations, and understandings.

21.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, provided that the assignee agrees to be bound by these Terms and your rights are not materially diminished.

21.5 No Partnership

Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and HealSpace AI.

21.6 Force Majeure

We will not be liable for any delay or failure to perform our obligations under these Terms caused by circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, acts of terrorism, pandemics, internet or telecommunications failures, or actions of third-party service providers.

21.7 Language

These Terms are written in English. In the event of any conflict between the English version and a translation, the English version shall prevail.
